1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between you and Unbreakable ("we," "our," or "us") governing your access to and use of our website, dashboard, device management services, and related software and support (collectively, the "Service"). By creating an account, using the Service, or clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you may not use the Service.
2. Description of Service and Eligibility
Unbreakable provides parental control and device management technology that allows account holders to configure rules (e.g., app and website blocking, schedules) for devices they manage. The Service uses Mobile Device Management (MDM) and related protocols and may require device supervision or enrollment. You must be at least 18 years old and have the legal authority to manage the devices and, where applicable, the consent or authority of a parent or guardian to manage a minor's device. You are responsible for ensuring your use of the Service complies with all applicable laws in your jurisdiction.
MDM Capabilities and Device Control
The Service uses Apple's Mobile Device Management (MDM) protocol, which grants us significant technical capabilities over enrolled devices, including but not limited to: installing and removing configuration profiles; remotely managing device settings and restrictions; monitoring device compliance with policies; and preventing removal of management profiles. You acknowledge that these capabilities are necessary to provide the parental control and device management features you have selected. You are solely responsible for obtaining all necessary consents and ensuring you have legal authority to enroll and manage each device.
Device Supervision
Certain features require device supervision. Supervised mode provides enhanced management capabilities and may only be removed by restoring the device to factory settings, which will erase all data on the device. You should back up important data before enrolling devices in supervised mode. Once a device is supervised through the Service, only a full factory reset will remove supervision status.
Parental Consent for Minors
If you are enrolling a device used by a minor, you represent that you are the minor's parent or legal guardian, or have obtained written consent from the parent or legal guardian to enroll and manage the device. You are responsible for explaining the management capabilities and restrictions to the minor in an age-appropriate manner.
3. Account and Security
You must provide accurate and complete registration information and keep your account credentials secure. You are responsible for all activity under your account. You must notify us promptly of any unauthorized access or use. We may suspend or terminate your account if we reasonably believe you have violated these Terms or for other reasons consistent with our policies or applicable law.
4. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Service in any way that violates applicable law or the rights of others; (b) use the Service to harass, abuse, or harm any person, including minors; (c) attempt to gain unauthorized access to the Service, other accounts, or our or any third party's systems or networks; (d) interfere with or disrupt the Service or servers or networks connected to the Service; (e) use the Service for any purpose for which you do not have proper authority (e.g., managing a device without the device owner's or parent's consent where required); or (f) use automated means to access or use the Service in a manner that we have not expressly permitted. We reserve the right to investigate suspected violations and to cooperate with law enforcement. Violation of this section may result in immediate termination of your account and access to the Service.
5. Subscription, Billing, and Refunds
Paid access to the Service is provided pursuant to the subscription plan you select (e.g., annual billing). Fees are billed in advance and are non-refundable except as stated in our refund policy. We currently offer a 30-day money-back guarantee for first-time subscribers; refund requests must be made within 30 days of the initial charge. After that period, we do not provide refunds for partial periods or unused portions of a subscription. We may change fees or billing terms on reasonable notice; continued use after the effective date of a fee change constitutes acceptance. You are responsible for any taxes that apply to your use of the Service. If payment fails, we may suspend or terminate your access until payment is received.
6. Intellectual Property and License
The Service, including all content, features, software, and materials we provide, is owned by Unbreakable or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or household use in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service, or reverse engineer or attempt to extract source code from the Service, except as expressly permitted by law or by us in writing.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNBREAKABLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE PARENTAL CONTROLS OR DEVICE MANAGEMENT FEATURES WILL PREVENT ALL UNWANTED USE OR ACCESS; YOU USE THE SERVICE AT YOUR OWN RISK.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL UNBREAKABLE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless Unbreakable and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of any third party right, including any intellectual property or privacy right; or (d) any dispute between you and any third party (including a minor or another account holder) relating to the use of a device or the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.
10. Termination and Data
You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account or access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes (e.g., fraud prevention, audit). Our Privacy Policy describes how we handle data after account closure. Where we offer data export, you are responsible for exporting any data you need before termination.
If we discontinue the Service, we will provide reasonable notice where feasible. Upon discontinuation, MDM profiles may cease to function but will remain installed on devices until you remove them. You are responsible for removing profiles and any device restoration required.
11. Device Unenrollment and Profile Removal
Upon termination or cancellation of your account, management profiles and restrictions will remain on enrolled devices until manually removed. You are responsible for removing profiles from devices through the device settings (Settings > General > VPN & Device Management) or by restoring devices to factory settings. We are not responsible for any data loss or device issues resulting from profile removal or device restoration. Supervised devices may require a full factory reset to remove supervision status, which will erase all data on the device.
12. Third-Party Services and Links
The Service may integrate with or link to third-party services (e.g., authentication, payment, analytics). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, content, or practices of third-party services. Any reliance on third-party services is at your own risk.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. You waive any right to a jury trial and any right to participate in a class action or representative proceeding. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
14. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated by email or a notice in the Service. Your continued use of the Service after the effective date of the changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your account.
15. General
These Terms, together with our Privacy Policy and any other policies or guidelines we publish applicable to the Service, constitute the entire agreement between you and Unbreakable regarding the Service and supersede any prior agreements. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign or transfer these Terms or your account without our prior written consent; we may assign our rights and obligations without restriction. Headings are for convenience only and do not affect interpretation.
